1. ENTIRE AGREEMENT

This Agreement, including these Terms of Use, constitutes the entire agreement between you (the “User”) and Baselinedrivers.com. All prior agreements, whether written or oral, are superseded by this Agreement.

a. Modification of Terms: Baselinedrivers.com reserves the right to update or modify these Terms at any time, at its sole discretion. Any changes will be posted here, and your continued use of the site signifies your acceptance of these modifications.

b. Acceptance of Terms: By using Baselinedrivers.com—whether by registering, searching for jobs, or posting jobs or resumes—you acknowledge and accept these Terms.

 

2. LIABILITY

Baselinedrivers.com assumes no responsibility for content submitted by users. We are not liable for the accuracy or reliability of posted jobs or resumes.

a. User Responsibility: Advertisers and users are solely responsible for the content they post, ensuring compliance with applicable laws and standards. Posts should not contain obscene, discriminatory, libelous, defamatory, sexually explicit, misleading, or false content.

b. Non-Placement Role: Baselinedrivers.com does not guarantee that job postings will result in candidates being hired or that resumes will lead to job placements.

c. Unauthorized Usage: Unauthorized use of automated devices, such as spiders or robots, to search or navigate our website is strictly prohibited.

d. Right to Suspend: Baselinedrivers.com reserves the right to suspend or terminate services to any user for any reason.

e. Indemnification of Liability: You agree to indemnify Baselinedrivers.com from any claims, losses, or damages that arise from content you submit or actions you take on the site that breach these Terms or violate applicable laws.

 

3. COPYRIGHT

All content on Baselinedrivers.com, including logos, text, graphics, software, animations, and databases, is protected by U.S. and international copyright laws.

a. Prohibited Actions: You may not reproduce, modify, display, distribute, or sell the content of the site, including the HTML code that generates our webpages.

4. NO WARRANTIES

Baselinedrivers.com provides its services on an “as-is” basis, without any warranties.

a. No Guarantee of Functionality: We do not warrant that the website will operate without error or that it is free of viruses or harmful elements.

b. No Liability for Costs: Baselinedrivers.com is not responsible for any costs arising from the need to repair or replace equipment or data resulting from the use of our site.

5. DISCLAIMER OF CONSEQUENTIAL DAMAGES

We ensure that candidate phone numbers are not shared for unsolicited communications, and that all interactions require explicit consent. You are solely responsible for ensuring your communications and data use comply with applicable privacy laws, and you agree to indemnify Baselinedrivers.com for any breach of privacy obligations arising from your misuse of candidate information.

7. GOVERNING LAW AND JURISDICTION

This Agreement will be governed by the laws of Nigeria. Any legal action arising from this Agreement shall be brought in the courts of competent jurisdiction in Nigeria, and both parties waive any objections to venue or forum non-conveniens.

8. TELEMARKETING COMPLIANCE

Baselinedrivers.com adheres to all telemarketing laws, and clients using our services must also comply.

a. Client Responsibility: Clients must ensure their communication practices comply with telemarketing regulations and refrain from unsolicited phone calls or text messages.

b. Candidate Consent: Baselinedrivers.com ensures that candidates give explicit consent before being added to the system or contacted. All candidate communications are conducted via email unless otherwise permitted by law.

9. INDEMNITY

You agree to indemnify, defend, and hold harmless Baselinedrivers.com, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to:

a. Your use of the Website or Services;

b. Your violation of these Terms or any applicable law or regulation;

c. Your infringement of any intellectual property or other right of any person or entity;

d. Any breach of contract, negligence, misrepresentation, or other wrongful act by you;

e. Your interactions or transactions with other users, employers, recruiters, or candidates;

f. Your failure to comply with applicable telemarketing, privacy, labor, or employment laws.

This indemnity obligation survives the termination or expiration of your account and/or these Terms.


To

EMPLOYERS, RECRUITERS, AND AGENCIES

1. RESUME SEARCH POLICIES

a. Only bona fide employers and recruiters may access the resume database. Resumes are for internal use only and cannot be distributed, sold, or shared.

b. Privacy Compliance: Employers must respect the privacy of candidates and ensure no unsolicited telemarketing calls, text messages, or emails are made.

c. Limitations on Use: Unauthorized access to the resume database by third parties, including other job boards, is prohibited.

2. JOB POSTING POLICIES

a. Unique Job Postings: Each job posting should be for a unique position. Multiple positions cannot be listed under one job title.

b. Wage Transparency: Every job posting must include a specified wage or salary range to comply with pay transparency laws.

c. Restrictions: Employers cannot post hyperlinks or HTML code unless requested by specific data fields. No job board can exceed 250 active postings per user per month.

3. PAYMENT TERMS

a. Payment in Naira: Employers, recruiters, and agencies must make payments in Nigerian Naira. All sales are final.

b. Invoice Terms: Payment is due within 14 days from the invoice date. Late payments incur a 1.5% monthly interest charge.

c. Bankruptcy Notification: You must notify Baselinedrivers.com immediately in the event of bankruptcy or insolvency proceedings. Failure to comply may result in termination of services.

4. CREDIT CARD SECURITY

We use encryption to protect your credit card information. Your credit card details are not stored in our system for your security.

5. SEVERABILITY AND WAIVER

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions will continue to apply. Failure to exercise any right does not constitute a waiver of that right.

6. ATTORNEYS’ FEES

You agree to reimburse Baselinedrivers.com for any legal fees or collection costs incurred in the enforcement of this Agreement.
